1. AGREEMENT TO OUR LEGAL TERMS
We are Buzzi App, Inc., doing business as Buzzi (“Company,” “we,” “us,” “our”), a company registered in Delaware, United States at 1007 N Orange St. 4th Floor Suite #1382 Wilmington, DE.19801
We operate the website https://www.buzziapp.com (the “Site”), the mobile application Buzzi (the “App”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).
Buzzi is a student-only marketplace and sublease platform where verified students can buy, sell items, as well as find or offer subleases within their own and nearby campus community securely and efficiently. Our platform is designed to meet the unique needs of student life, offering verified .Edu email-based signups and optional escrow-style payment handling for safer, more transparent transactions.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Buzzi App, Inc., concerning your access to and use of the Services. By accessing the Services, you acknowledge that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you at support@buzzi.app, as stated in the email message. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
We recommend that you print or save a copy of these Legal Terms for your records.
2. OUR SERVICES
The information provided when using the Services is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to applicable law or regulation, or which would subject us to any registration requirement within such jurisdiction or country.
Accordingly, those who choose to access the Services from locations outside the United States do so on their own initiative and are solely responsible for compliance with all local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations (including but not limited to the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or similar laws). If your interactions with the Services would be subject to such laws, you may not use the Services. You may not use the Services in any way that would violate the Gramm-Leach-Bliley Act (GLBA) or any other U.S. federal or state privacy or security regulations.
3. INTELLECTUAL PROPERTY RIGHTS
Our Intellectual Property
We are the owner or the licensee of all intellectual property rights in our Services, including but not limited to:
- All source code, databases, algorithms, functionality, and software;
- Website and mobile app designs, layouts, and user interface elements;
- All text, photographs, graphics, icons, illustrations, and other visual assets;
- Audio, video, and other multimedia content;
- Trademarks, service marks, brand names, and logos (collectively, the “Marks”).
Our Content and Marks are protected by copyright, trademark, and other intellectual property laws and unfair competition laws in the United States and internationally.
The Content and Marks are provided through the Services “AS IS” for your personal, non-commercial use only, unless expressly authorized in writing by Buzzi App Inc.
4. Your Use of Our Services
Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services; and
- Download or print a copy of any portion of the Content to which you have properly gained access,
solely for your personal, non-commercial use.
Except as expressly stated in this Agreement, no part of the Services, Content, or Marks may be:
- Copied, reproduced, modified, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our prior written permission.
If you wish to make any use of the Services, Content, or Marks beyond what is expressly permitted herein, please submit a written request to support@buzzi.app. If permission is granted, you must:
- Clearly identify Buzzi App Inc. as the owner or licensor of the applicable Services, Content, or Marks; and
- Ensure that any copyright, trademark, or proprietary notices remain visible and intact.
We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.
Any unauthorized use or breach of these Intellectual Property Rights constitutes a material breach of these Legal Terms, and your right to access or use the Services will terminate immediately.
5. Your Submissions and Contributions
Please review this section and the “Prohibited Activities” section carefully before using our Services to understand:
(a) the rights you grant to us, and
(b) the obligations you accept when posting or uploading any content through the Services.
a. Submissions
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services (collectively, “Submissions”), you agree to assign to Buzzi App Inc. all intellectual property rights in such Submissions. You agree that we shall own these Submissions and be entitled to their unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

b. Contributions
The Services may allow you to chat, create listings, contribute to forums, participate in messaging, or otherwise post or share content and materials through the platform (collectively, “Contributions”), including but not limited to:
- Text, writings, photographs, videos, or audio
- Product or service listings
- Reviews, ratings, and feedback
- Graphics, designs, or other media
- Personal or commercial images and logos
Any Submission that is publicly posted will also be treated as a Contribution.
You understand that Contributions may be visible to other users of the Services (for example, other students on your campus) and potentially the public depending on your settings.
c. License You Grant to Us
By posting any Contributions, you grant Buzzi App Inc. an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid, worldwide right and license to:
- Use, copy, reproduce, distribute, sell, resell, publish, broadcast, store, publicly perform, publicly display, reformat, translate, and exploit your Contributions in any form or media, for any purpose (including commercial and advertising purposes);
- Create derivative works of your Contributions; and
- Sublicense these rights to others.
This license includes the right to use your name, campus name, business name, trade name, logos, images, and any other identifiers you provide in connection with your Contributions.
d. Your Responsibilities
When you submit Submissions or post Contributions, you:
- Confirm you have read and agree to our “Prohibited Activities” policy.
- Agree not to post anything that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening, sexually explicit, false, misleading, or otherwise objectionable.
- Waive any moral rights you may have to your Submissions or Contributions, to the extent permitted by law.
- Warrant that your Submissions and Contributions are original to you, or that you have all necessary rights and licenses to submit them, and that they do not infringe on any third party’s intellectual property or privacy rights.
- Warrant that your Submissions and Contributions do not contain confidential information.
You are solely responsible for your Submissions and Contributions. You agree to indemnify and reimburse Buzzi App Inc. for any losses, damages, or claims arising from your breach of this section, violation of any third party rights, or violation of applicable law.
e. Our Right to Remove or Edit Content
While we have no general obligation to monitor Contributions, we reserve the right to remove or edit any Submissions or Contributions at any time, without notice, if in our reasonable opinion they:
- Violate these Legal Terms
- Harm the integrity, safety, or reputation of the Services
- Breach applicable laws or regulations
If we remove or edit any such content, we may also suspend or disable your account, and in serious cases, report you to the relevant authorities.
6. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update it as necessary.
- You have the legal capacity and agree to comply with these Legal Terms.
- You are at least 18 years of age (or the age of majority in your jurisdiction, if higher).
- You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise.
- You will not use the Services for any illegal, fraudulent, or unauthorized purpose.
- Your use of the Services will not violate any applicable local, state, or federal law or regulation.
- For marketplace transactions and sublease listings, you will comply with any applicable institutional, lease, housing, and municipal regulations.
If you provide information that is untrue, inaccurate, not current, or incomplete, Buzzi App Inc. has the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
7. USER REGISTRATION
You may be required to register to use certain features of the Services. Registration requires:
- A valid .edu or other institution-verified email address (unless otherwise approved by Buzzi).
- Completion of the identity verification process if requested.
You agree to keep your password and login credentials confidential, and you are responsible for all activity under your account.
We reserve the right to:
- Remove, reclaim, or change a username that is inappropriate, obscene, misleading, or otherwise objectionable.
- Suspend or disable accounts that violate these Legal Terms or applicable law.
8. PRODUCTS, LISTINGS, AND AVAILABILITY
The Services allow users to post listings for products, services, and subleases.
- We make every effort to ensure that listings display accurate information; however, we do not guarantee that descriptions, specifications, prices, images, or other details are accurate, complete, reliable, current, or error-free.
- Your device display may not accurately represent actual colours or details.
- All marketplace items and sublease listings are user-generated and subject to availability; Buzzi does not guarantee any listing will remain active or available.
- We reserve the right to remove, modify, or discontinue any listing or category at any time without notice.
- Prices for boosted listings or optional paid services are subject to change without notice.
9. PURCHASES AND PAYMENT
a.Payments in the Marketplace:
- We accept:
- Visa
- Mastercard
- American Express
- Discover
- Any other payment method integrated into the App.
b.Sublease Payments:
- As of now, Buzzi does not charge fees for sublease transactions, except for optional boosted listings or other premium services.
By making a purchase or payment through the Services, you agree to:
- Provide current, complete, and accurate purchase and account information.
- Promptly update account and payment details to ensure we can process transactions and contact you as needed.
- Pay all charges at the posted prices (including applicable taxes) at the time of purchase.
- Authorize us to charge your payment method for the full amount of your purchase, including applicable fees and taxes.
We reserve the right to:
- Correct any errors or mistakes in pricing, even if payment has already been requested or received.
- Refuse any order or transaction at our sole discretion.
- Limit or cancel transactions placed under the same account, payment method, or billing/shipping address if deemed fraudulent or suspicious.
- Prohibit transactions that appear to be made by dealers, resellers, or distributors without prior written consent.
10. RETURN & REFUND POLICY
A. Marketplace Transactions
- All sales between users on the marketplace are final, unless otherwise stated in this policy.
- Buzzi App Inc. does not own, inspect, or guarantee any items sold and is not a party to user-to-user transactions.
Refund Eligibility for In-App Payments
- 100% Upfront Payment with OTP Protection:
- If a buyer pays the full amount through Buzzi’s secure payment system and the transaction is cancelled before the exchange of the One-Time Passcode (OTP), the buyer will receive a full refund to their original payment method.
- Pay When You Meet (Partial or No Upfront Payment):
- If a buyer chooses the “Pay When You Meet” option or otherwise pays outside of Buzzi’s secure in-app payment system, Buzzi is not responsible for any disputes, refunds, chargebacks, or non-delivery issues.
- Fraudulent or Erroneous OTP Exchange:
- If the OTP is exchanged in error or fraudulently, Buzzi is not liable unless the incident is reported before funds are released from escrow.
Finalization of Transactions
- Once the OTP is exchanged, the transaction is considered final and completed.
- No refund will be issued after this point unless required by applicable law.
B. Sublease Transactions
- Buzzi does not provide refunds for sublease agreements between users, as we are not a party to the lease or sublease arrangement.
- Payments for boosted listings or premium services are non-refundable, except in cases of verified platform error or fraud.
- If sublease payments are processed via Buzzi’s secure payment feature with OTP protection, the full refund policy applies only if the transaction is cancelled before OTP exchange.
C. Chargebacks
- You agree not to initiate a chargeback or reversal of payment for any transaction conducted in accordance with these Terms.
- Chargebacks made in violation of these Terms may result in immediate account suspension, debt recovery actions, and legal proceedings to recover funds and associated costs.
D. Dispute Assistance
- For transactions eligible under this policy, Buzzi may offer dispute resolution assistance if:
- The transaction was completed using Buzzi’s secure payment system, and
- The issue is reported before OTP exchange (or within the applicable dispute window if no OTP is required).
- Dispute assistance is non-binding, and Buzzi does not guarantee resolution in the buyer’s or seller’s Favor.
11. RETURN & REFUND POLICY
You may not access or use the Services for any purpose other than those expressly permitted by Buzzi App Inc. The Services may not be used in connection with any commercial endeavours except those specifically authorized or approved by us in writing.
By using Buzzi, you agree that you will not engage in the following activities:
A. Platform Misuse
- Systematically retrieving data or content to create, compile, or republish a collection, database, or directory without our written permission.
- Circumventing, disabling, or interfering with security-related features of the Services.
- Bypassing measures implemented to restrict access to the Services or portions thereof.
- Using automated means (bots, scripts, scrapers, spiders) to access or interact with the Services without authorization.
B. Fraud, Deception, and Unauthorized Conduct
- Tricking, defrauding, or misleading Buzzi, our staff, or users—especially to gain access to accounts, data, or payment information.
- Impersonating any person or entity or misrepresenting your affiliation.
- Using the Services for illegal, fraudulent, or unauthorized activities (including scams, phishing, identity theft).
- Circumventing Buzzi’s payment systems, including encouraging or facilitating off-platform transactions to avoid fees or protections.
- Using a buying or purchasing agent without our written consent.
- Violating institutional rules, lease agreements, or housing regulations in relation to sublease listings.
C. Harmful or Offensive Content
- Posting, uploading, or sharing obscene, defamatory, hateful, threatening, abusive, discriminatory, violent, or otherwise offensive content.
- Promoting violence, terrorism, self-harm, or illegal activity.
- Uploading counterfeit, pirated products, or items prohibited by law or sanctions.
- Infringing on the IP rights of others.
D. Technical Interference and Abuse
- Uploading malware, viruses, spyware, or any malicious code.
- Introducing unauthorized software or passive collection mechanisms.
- Overloading or disrupting normal Service operations.
- Removing copyright or proprietary notices from Content.
E. Harassment and Abuse
- Harassing, bullying, intimidating, or threatening users, staff, or third parties.
- Misusing support services or submitting false reports.
- Spamming, flooding, or excessive capitalized posts meant to disrupt communication.
F. Commercial Misuse
- Using the Services to compete with Buzzi or create a competing platform.
- Selling or transferring your profile without written consent.
- Unauthorized revenue-generating activities unrelated to Buzzi.
- Engaging in multi-accounting to manipulate ratings, reviews, or search rankings.
G. Zero-Tolerance Enforcement
- Reported violations will be reviewed and acted on within 24 hours.
- Actions may include content removal, permanent account suspension, and reporting to authorities.
12. USER GENERATED CONTRIBUTIONS
The Services may allow you to chat, create listings, post reviews, upload images or videos, participate in forums, send messages, and otherwise create, submit, display, transmit, publish, or distribute content and materials through the platform (collectively, “Contributions”). This includes, but is not limited to:
- Marketplace product or service listings
- Sublease listings and related information
- Text, descriptions, and captions
- Photographs, videos, and other media
- Reviews, ratings, and feedback
- Personal or commercial images and logos
Contributions may be visible to other users of the Services and, in some cases, to the public. As such, any Contributions you transmit through the Services will be treated as non-confidential and non-proprietary unless otherwise stated in our Privacy Policy.
By creating or making available any Contributions, you represent and warrant that:
- The creation, distribution, transmission, public display, or performance and the accessing, downloading, or copying of your Contributions does not and will not infringe the intellectual property rights, privacy rights, or publicity rights of any third party.
- You are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and authorize Buzzi App Inc., the Services, and other users to use your Contributions as contemplated by the Services and these Legal Terms.
- You have written consent, release, and/or permission from every identifiable person in your Contributions to use their name, image, and likeness as required for inclusion in the Services.
- Your Contributions are truthful, accurate, and not misleading.
- Your Contributions do not contain unauthorized advertising, spam, pyramid schemes, chain letters, or other forms of solicitation.
- Your Contributions are not obscene, pornographic, defamatory, harassing, hateful, threatening, abusive, discriminatory, violent, or otherwise objectionable as determined by Buzzi App Inc. in its sole discretion.
- Your Contributions do not promote violence, terrorism, self-harm, or illegal activity.
- Your Contributions do not violate any applicable law, rule, or regulation.
- Your Contributions do not violate child protection laws, including laws related to child sexual abuse material (CSAM).
- Your Contributions do not ridicule, mock, or disparage any person or group based on race, nationality, gender, sexual orientation, religion, or disability.
- Your Contributions do not link to or reference material that violates these Legal Terms or applicable law.
Any violation of these warranties may result in suspension or termination of your account and removal of your Contributions.
13. CONTRIBUTION LICENSE
By posting or making Contributions available on any part of the Services—or linking your account to third-party services—you grant Buzzi App Inc. an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid, worldwide license to:
- Host, store, use, copy, reproduce, publish, distribute, sell, resell, broadcast, and publicly display your Contributions.
- Prepare derivative works from or incorporate your Contributions into other works.
- Translate, reformat, excerpt, and modify your Contributions for lawful purposes, including commercial use.
- Use your name, institution, business name, logos, images, likeness, and voice in connection with your Contributions.
- Sublicense these rights to third parties.
Additional Representations and Warranties
By uploading or submitting content, you represent and warrant that:
- Your Contributions are free of malware, viruses, or malicious code.
- Your Contributions do not violate U.S. export control laws or applicable sanctions.
DMCA Takedown Process
If you believe your copyrighted work has been used or displayed in a way that constitutes infringement, you may submit a takedown request under the Digital Millennium Copyright Act (DMCA) by contacting:

Include your contact information, a description of the work, the location of the infringing material, a statement of good faith, and your physical or electronic signature.
You waive moral rights to your Contributions to the extent permitted by law, and you warrant that no moral rights have been asserted.
14. GUIDELINES FOR REVIEWS
We may provide areas on the Services where users can leave reviews or ratings related to marketplace transactions, sublease experiences, or other interactions conducted through Buzzi.
When posting a review, you must comply with the following criteria:
- You must have firsthand experience with the person, transaction, product, or service being reviewed.
- Your review must be truthful and accurate to the best of your knowledge.
- Reviews may not contain offensive profanity or abusive, racist, hateful, discriminatory, or obscene language.
- Reviews may not reference illegal activities or promote harmful conduct.
- You may not be affiliated with competitors when posting negative reviews, nor may you manipulate reviews to harm a competitor or artificially improve ratings.
- Reviews may not contain false or misleading statements or conclusions regarding legal matters.
- Reviews may not organize or participate in coordinated campaigns to post multiple reviews—whether positive or negative.
We reserve the right to accept, reject, or remove any review at our sole discretion, with no obligation to screen or delete reviews, even if a review is deemed objectionable or inaccurate by others.
Reviews are not endorsed by Buzzi App Inc. and do not necessarily represent our views or those of our affiliates. We assume no liability for any review or for any claims, losses, or damages resulting from reviews.
By posting a review, you grant Buzzi App Inc. a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable license to reproduce, modify, translate, transmit, display, perform, and distribute all content related to your review in any form and for any purpose.
15. MOBILE APPLICATION LICENSE
Use License
If you access the Services via the Buzzi mobile application (the “App”), Buzzi App Inc. grants you a revocable, non-exclusive, non-transferable, limited license to:
- Install and use the App on a wireless electronic device owned or controlled by you, and
- Access and use the App strictly in accordance with these Legal Terms.
You may not:
- Except as permitted by law, decompile, reverse engineer, disassemble, attempt to derive the source code, or decrypt the App.
- Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the App.
- Use the App in violation of any applicable laws or regulations.
- Remove, alter, or obscure any proprietary notice (including copyright or trademark notices) posted by us or our licensors.
- Use the App for unauthorized commercial purposes or revenue-generating activities unrelated to the Services.
- Make the App available over a network in a way that allows simultaneous access by multiple devices or users.
- Use the App to develop or promote a competing product, service, or software.
- Use the App to send automated queries or unsolicited commercial messages.
- Use our proprietary information, APIs, or interfaces to create unauthorized applications, accessories, or devices for use with the App.
Apple and Android Devices
If you download the App from the Apple App Store or Google Play Store (each an “App Distributor”):
- The license granted to you is limited to a non-transferable license to use the App on a device running Apple iOS or Android, per the App Distributor’s usage rules.
- Buzzi App Inc. is solely responsible for providing maintenance and support for the App as required under these Legal Terms or applicable law; App Distributors have no maintenance or support obligations.
- If the App fails to conform to applicable warranties, you may notify the App Distributor for a refund of the purchase price (if applicable). To the extent allowed by law, the App Distributor has no further warranty obligation.
- You represent and warrant that:
- You are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and
- You are not listed on any U.S. government list of prohibited or restricted parties.
- You must comply with all applicable third-party agreements when using the App (e.g., data service agreements with your wireless provider).
- The App Distributors are third-party beneficiaries of this mobile application license, and have the right to enforce these terms against you.
16. SOCIAL MEDIA
As part of the functionality of the Services, you may choose to link your Buzzi App Inc. account with your online accounts from third-party service providers (each, a “Third-Party Account”) by either:
- Providing your Third-Party Account login credentials through the Services, or
- Granting us access to your Third-Party Account as permitted under its terms and conditions.
By linking a Third-Party Account, you represent and warrant that:
- You have the right to disclose your login credentials and/or grant us access without breaching any agreement with the third-party service provider.
- Granting access does not require us to pay fees or comply with any additional usage restrictions beyond those already in place for our Services.
When you grant us access to your Third-Party Account:
- We may retrieve, store, and display any content you have stored in that account (“Social Network Content”) so it is accessible through your Buzzi profile (e.g., your name, profile photo, contact list, or public posts).
- We may send or receive additional information from the Third-Party Account as permitted by your privacy settings on that service.
Please note:
- If your Third-Party Account becomes unavailable or our access is revoked, your linked Social Network Content may no longer be visible on Buzzi.
- You may unlink your Third-Party Account at any time via your Buzzi account settings or by contacting support@buzzi.app.
- We will attempt to delete any data obtained from a Third-Party Account, except for your username and profile picture associated with your Buzzi account.
- Your relationship with any third-party service provider remains governed solely by your agreement with that provider.
- We do not review or verify Social Network Content for accuracy, legality, or non-infringement, and we are not responsible for such content.
We may also access your mobile device’s contacts list or email address book solely to identify which of your contacts also use Buzzi, and you may disable this feature at any time.
17. SERVICES MANAGEMENT
Buzzi App Inc. reserves the right, but not the obligation, to:
- Monitor activity on the Services to detect violations of these Legal Terms.
- Take legal action against anyone violating applicable laws or these Terms, including reporting offenders to law enforcement.
- Restrict, limit, disable, or remove any Contributions, listings, or content that, in our discretion, violate our Terms, harm our platform’s integrity, or disrupt marketplace safety.
- Remove content or files that are excessive in size, unrelated to transactions, or burdensome to our systems.
- Suspend or terminate accounts found engaging in fraud, harassment, abuse, sale of counterfeit goods, or any prohibited activities.
- Manage the Services in any way necessary to protect Buzzi’s rights, ensure secure transactions, and maintain marketplace functionality.
We aim to create a safe, trusted space for student-to-student commerce, including monitoring for scams, OTP misuse, and unsafe listings.

By using the Services, you agree to the terms of our Privacy Policy, which are incorporated into these Legal Terms.
Important points regarding privacy and data handling:
- Hosting Location: Our Services are hosted in the United States.
- International Access: If you use Buzzi from a country with privacy or data protection laws different from the United States, you consent to having your data transferred to, stored in, and processed in the United States.
- Data Use: We collect and use your information to facilitate secure transactions, prevent fraud, improve user experience, and comply with applicable laws.
- Security Measures: We employ reasonable administrative, technical, and physical safeguards to protect your information, but no online transmission is 100% secure.
19. TERM AND TERMINATION
These Legal Terms remain in full force and effect while you access or use the Services.
Buzzi App Inc. reserves the right, in its sole discretion and without prior notice or liability, to:
- Deny, restrict, or terminate access to the Services (including blocking certain IP addresses) for any reason or no reason at all, including but not limited to violation of these Legal Terms, breach of applicable laws, fraudulent activity, or abuse of our OTP-secured transaction system.
- Suspend, disable, or permanently delete your account and remove any associated content or listings at any time, without warning.
If your account is terminated or suspended:
- You are prohibited from creating a new account under your own name, a false identity, or on behalf of another person or entity, even if acting with their consent.
- We may pursue any legal remedies available, including civil, criminal, or injunctive relief.
Termination of your account does not relieve you of obligations to complete pending transactions, resolve disputes, or pay any fees owed.
20. MODIFICATIONS AND INTERRUPTIONS
We may, at any time and without prior notice:
- Change, update, remove, or discontinue any feature, listing, or functionality of the Services.
- Modify pricing for premium or boosted listings (if applicable).
- Temporarily or permanently suspend Services due to maintenance, technical issues, policy updates, or legal compliance.
While we aim to maintain uninterrupted Services, we cannot guarantee constant availability. Downtime may occur due to:
- Scheduled maintenance or upgrades.
- Hardware or software failures.
- External issues such as internet outages or security threats.
You agree that Buzzi App Inc. is not liable for any loss, inconvenience, or damages resulting from your inability to access the Services during interruptions.
Nothing in these Terms obligates us to:
- Maintain any particular feature or service indefinitely.
- Provide software updates, bug fixes, or enhancements unless required by law.
21. GOVERNING LAW
These Terms and any disputes arising from your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, United States — regardless of your location or the location of the transaction — without regard to conflict-of-law principles.
Venue is exclusive in the state and federal courts located in New Castle County, Delaware.
You consent to the jurisdiction of these courts and waive any right to a jury trial, in addition to the arbitration waiver in Section 19.
22. DISPUTE RESOLUTION
Scope of Disputes Covered
These dispute resolution provisions apply to all disputes, claims, or controversies arising out of or relating to your use of the Services, including but not limited to:
- Marketplace transactions;
- Sublease agreements or related arrangements;
- OTP-secured or escrow transactions; and
- Any transactions or interactions facilitated by the platform, whether completed on-platform or off-platform.
A. Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms or your use of the Buzzi platform (each a “Dispute”), you and Buzzi App Inc. (each a “Party” and collectively, the “Parties”) agree to first attempt to resolve the Dispute informally for at least thirty (30) days before initiating arbitration.
Informal negotiations will begin upon written notice from one Party to the other. Notices should be sent to the contact information provided in Section 1 of these Terms.
B. Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those expressly excluded below) will be finally and exclusively resolved by binding arbitration.
YOU ACKNOWLEDGE AND AGREE THAT, WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
The arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where applicable, the AAA’s Consumer Arbitration Rules, available at www.adr.org.
- Arbitration may be conducted in person, via documents, by phone, or online.
- The arbitrator will issue a written decision but is not required to provide detailed reasoning unless requested by either Party.
- The arbitrator must apply applicable law, and their decision may be reviewed if they fail to do so.
- Unless otherwise required by law or AAA rules, arbitration will take place in New Castle County, Delaware, USA.
If arbitration costs are determined to be excessive by the arbitrator, Buzzi App Inc. will cover all reasonable arbitration fees and expenses.
Arbitration Opt-Out
You may opt out of this agreement to arbitrate by sending written notice to support@buzzi.app within thirty (30) days of creating your account. Your opt-out notice must include your full name, the email address associated with your account, and a clear statement that you do not agree to arbitration. Opting out of arbitration does not affect other provisions of these Terms, including the governing law or venue clauses.
C. Court Proceedings
If a Dispute proceeds in court rather than arbitration:
- It must be filed exclusively in the state or federal courts of New Castle County, Delaware, USA.
- Both Parties consent to personal jurisdiction in these courts and waive any defense based on jurisdiction or inconvenient forum.
The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Terms.
D. Time Limit
No Dispute may be initiated more than one (1) year after the cause of action arose.
E. Restrictions
The Parties agree that:
- Any arbitration will be limited to the Parties individually.
- No arbitration may be joined with another case or proceed as a class action.
- There is no right to arbitrate in a representative capacity for the general public or others.
F. Exceptions to Arbitration
The following Disputes are not subject to informal negotiation or binding arbitration:
- Enforcement, protection, or validity of intellectual property rights.
- Allegations of theft, piracy, invasion of privacy, or unauthorized use.
- Claims for injunctive relief.
If any part of this provision is found illegal or unenforceable, that part will be decided by a court of competent jurisdiction in New Castle County, Delaware, and both Parties consent to personal jurisdiction there.
23. CORRECTIONS
The Buzzi platform may occasionally contain typographical errors, inaccuracies, or omissions including but not limited to item descriptions, pricing, seller details, availability, or other service-related information.
We reserve the right to correct, update, or amend such information at any time without prior notice, even after you have submitted a transaction request. This includes modifying or cancelling transactions that were based on incorrect or outdated information, in which case you will be notified and refunded if applicable.
24. DISCLAIMER
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. You agree that your use of the Services will be at your sole risk.
To the fullest extent permitted by law, Buzzi App Inc. disclaims all warranties, express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Buzzi does not verify, endorse, or guarantee the identity of any user, the quality, safety, legality, or compliance of any item, sublease, or service listed on the platform, or the truthfulness, completeness, or accuracy of any listing, profile, or communication. You acknowledge and agree that Buzzi is not a broker, agent, or guarantor for any marketplace transaction or sublease arrangement.
We make no warranties or representations about the accuracy or completeness of the Services’ content or the content of any websites linked to the Services, and we will assume no liability or responsibility for any:
- Errors, mistakes, or inaccuracies of content;
- Personal injury or property damage resulting from your use of the Services;
- Unauthorized access to or use of our secure servers or personal/financial information;
- Bugs, viruses, or malicious code transmitted by a third party; or
- Loss or damage resulting from the use of content, goods, or services posted or transacted through the platform.
Risk Assumption for In-Person Meetups: If you choose to meet another user in person to complete a transaction, you do so at your own risk. Buzzi has no responsibility for any injury, theft, fraud, or damage arising from in-person meetings. We recommend meeting only in public, well-lit, and safe locations and taking appropriate precautions.
25. LIMITATIONS OF LIABILITY
To the fullest extent permitted by law:
- Buzzi App Inc., its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of the Services, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
- Our total liability to you for any claim related to your use of the Services shall not exceed the total amount paid by you to Buzzi in the six (6) months preceding the claim, if any.
If you chose to transact using our “Pay When You Meet” option and cancelled after OTP exchange, or if you completed an in-person transaction outside of our escrow process, Buzzi will not be responsible for refunding your payment.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability; in such cases, portions of this section may not apply to you.
26. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Buzzi App Inc., its affiliates, officers, agents, partners, and employees from any claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:
- Your Contributions or listings.
- Your use of the Services.
- Your breach of these Terms.
- Your violation of another user’s rights, including IP or privacy rights.
- Any product liability claim related to goods you sell.
- Any housing code or lease regulation violation related to subleases you offer.
- Losses from your breach of OTP/payment policies.
We may assume exclusive defense of any matter otherwise subject to indemnification, at your expense.
27. USER DATA
We maintain certain data you provide to operate the Services, including transaction history, communication logs, and account activity.
- Data Retention: We retain transactional and compliance-related data for as long as legally required, even after account deletion.
- Law Enforcement: We may disclose data in response to valid legal requests, court orders, or subpoenas, in compliance with privacy laws.
- Backups: While we perform regular backups, you are solely responsible for maintaining your own records.
Buzzi shall have no liability for loss, corruption, or deletion of your data.
28. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
By visiting the Buzzi platform, sending us emails, submitting forms, or engaging in transactions, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically whether via email, in-app messaging, or posted on the Services—satisfy any legal requirement that such communications be in writing.
You consent to the use of electronic signatures, contracts, and records for all transactions initiated or completed through the Buzzi platform, and you waive any requirement for original physical signatures or paper records unless required by applicable law.
29. SMS TEXT MESSAGING
Program Description
By opting in to any Buzzi text messaging program, you expressly consent to receive SMS or MMS messages to your registered mobile number. These may include:
- Transaction updates (including escrow and OTP confirmations)
- Account alerts and security verifications
- Reminders for item pickups or meet-ups
- Marketing offers, promotions, and service announcements
Opting Out
You may stop receiving SMS messages at any time by replying STOP to any message. You may receive a final confirmation text to confirm your opt-out.

Standard message and data rates may apply as determined by your mobile carrier and plan.

31. MISCELLANEOUS
These Terms of Service, along with any policies posted on the Buzzi platform, represent the entire agreement between you and Buzzi App Inc. regarding your use of the Services.
Key points:
- Our failure to enforce any provision of these Terms shall not be considered a waiver of our rights.
- We may assign our rights and obligations under these Terms at any time without notice.
- We are not responsible for delays, failures, or damages caused by events outside our reasonable control.
- If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- These Terms will not be interpreted against Buzzi merely because we drafted them.
- No joint venture, partnership, employment, or agency relationship exists between you and Buzzi unless expressly stated.
By using Buzzi, you acknowledge that you have read, understood, and agreed to these Terms in their entirety.
32. YOUR LISTINGS
As a seller, you are solely responsible for the accuracy, legality, and completeness of your listings (“Seller Content”).
By uploading Seller Content, you represent and warrant that it:
- Is accurate and complete.
- Complies with all laws and regulations.
- Is free of malware and does not violate export control laws.
DMCA Takedown Process for Listings: If you believe your listing or content has been used without authorization, you may follow the DMCA process outlined in Section 10.
33. VENDOR RESPONSIBILITY AND INDEMNITY
You are solely responsible for ensuring the quality, safety, and lawful sale of your products or services. This includes compliance with all recalls, safety alerts, and legal requirements. If a recall, safety notice, or intellectual property claim is issued, you must immediately remove the affected listing from Buzzi.
You agree to indemnify and hold harmless Buzzi App Inc., its affiliates, and its users from any claims, damages, or liabilities arising from defects, safety issues, misrepresentation, or any non-compliance in relation to your listings.
34. TAX RESPONSIBILITY AND INDEMNITY
You are the seller of record for your transactions on Buzzi and are solely responsible for all taxes, duties, fees, surcharges, and other applicable charges (“Taxes & Fees”).
This includes calculating, collecting, reporting, and remitting all required Taxes & Fees in accordance with applicable laws. Buzzi does not collect or remit taxes on your behalf unless explicitly stated in the Payment Terms. You are liable for any penalties, interest, or charges from tax authorities due to underpayment or non-payment.
35. PRODUCT SAFETY, COMPLIANCE, AND LIABILITY
You must ensure your products or services comply with all safety standards, labeling requirements, and legal obligations in your jurisdiction. Any defects, hazards, or violations are your sole responsibility.
If a safety recall, compliance notice, or intellectual property claim affects your listing, you must remove it immediately. You agree to bear full liability for any harm, loss, or damages resulting from the sale or distribution of your products or services via Buzzi.
36. CONTENT REVIEW
Buzzi may review or moderate Seller Content—either manually or through automated systems—to maintain platform integrity and compliance. However, such reviews do not shift legal responsibility from you as the seller.
Approval of a listing by Buzzi does not constitute an endorsement or guarantee. You remain solely responsible for the accuracy, legality, and safety of your listings.
37. SERVICE TESTING AND MODIFICATIONS DISCLAIMER
From time to time, Buzzi may test features, algorithms, and delivery methods that could affect how your listings appear or how transactions are processed.
These tests are intended to improve user experience and marketplace efficiency. While we strive to minimize disruptions, Buzzi is not responsible for any impact on your sales, visibility, or performance during these changes.
38. BUYER DISCLAIMER
While Buzzi provides escrow payment options, OTP-based transaction confirmation, and limited dispute assistance, we cannot and do not guarantee buyer performance.
We do not guarantee:
- That a buyer will complete payment (unless using full upfront escrow, in which case our refund policy applies);
- That a buyer will meet at the agreed location or time; or
- The truthfulness, completeness, or reliability of any buyer profile, communication, or representation.
Buzzi does not verify, endorse, or guarantee the identity of any buyer, the legality of any transaction, or the quality or safety of any product or sublease being purchased. Buzzi is not a broker, agent, or guarantor for any marketplace transaction or sublease agreement.
Risk Assumption for In-Person Transactions: Buyers assume all risk when meeting sellers in person or completing transactions outside of Buzzi’s escrow system. Buzzi is not liable for any injury, theft, fraud, or loss that occurs during or after such meetings.
